1. Introduction & Acceptance of Terms

Welcome to Secure365 (www.secure365.in). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Secure365 ("we," "us," or "our") governing your access to and use of the Secure365 website, platform, services, and content (collectively, the "Platform").

By accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must immediately discontinue your use of the Platform.

Please read these Terms carefully before using the Platform. Your use of the Platform constitutes your acceptance of and agreement to comply with these Terms, as amended from time to time.

3.1 Insurance Aggregator Platform

Secure365 is an insurance aggregator and comparison platform that enables Users to compare insurance plans across multiple categories, including but not limited to health insurance, motor insurance (car and two-wheeler), travel insurance, and life insurance, offered by various Insurance Partners.

3.2 We Are NOT an Insurance Company

Secure365 is not an insurance company, insurer, insurance agent, or insurance broker. We do not underwrite, issue, sell, bind, or administer any insurance policy. All insurance products displayed on the Platform are offered, underwritten, and administered by the respective Insurance Partners.

3.3 Comparison and Referral Services

Our Services are limited to providing Users with a platform to compare insurance plans and facilitating the redirection of Users to the respective Insurance Partner's website, where the User may directly purchase an insurance policy. The actual purchase transaction occurs on the Insurance Partner's website and is subject to the Insurance Partner's terms and conditions.

3.4 Affiliate Partner Role

Secure365 acts as an affiliate partner of the Insurance Partners listed on the Platform. We earn referral commissions from Insurance Partners when Users are redirected through our Platform and complete eligible actions (such as purchasing an insurance policy) on the Insurance Partner's website. This affiliate arrangement does not constitute an agency, brokerage, or fiduciary relationship between Secure365 and the User or the Insurance Partner.

4. User Eligibility

To access and use the Platform, you represent and warrant that:

  1. Age Requirement: You are at least 18 (eighteen) years of age and are competent to enter into a legally binding agreement under the Indian Contract Act, 1872.
  2. Residency: You are a resident of India or are accessing the Platform from within India.
  3. Valid Contact Information: You possess a valid Indian mobile number and a valid email address, and you consent to receiving service-related communications on these.
  4. Legal Capacity: You have the legal authority and capacity to agree to these Terms and to use the Platform in accordance with all applicable laws and regulations.

If you do not meet the above eligibility criteria, you are not permitted to access or use the Platform.

5. User Obligations

By using the Platform, you agree to the following obligations:

You shall provide accurate, complete, and current information when using the Platform, including but not limited to your name, mobile number, and email address. You are solely responsible for the accuracy of the information you provide.

You shall not attempt to manipulate, alter, forge, or interfere with the referral tracking parameters (Sub IDs) generated by the Platform. Any attempt to manipulate referral tracking for the purpose of fraudulently claiming commissions or disrupting the affiliate system is strictly prohibited and may result in legal action.

6. Insurance Products

6.1 Offered by Insurance Companies

All insurance products displayed on the Platform are offered, underwritten, and administered solely by the respective Insurance Partners. Secure365 merely facilitates the display of plan information for comparison purposes and does not participate in the issuance, administration, or servicing of any insurance policy.

6.2 No Underwriting or Guarantee

Secure365 does not underwrite, guarantee, or endorse any insurance policy or product. The decision to purchase any insurance product is entirely yours, and you should exercise your own independent judgement before making any purchase decision.

6.3 Premiums and Terms

Insurance premiums, coverage amounts, benefits, exclusions, terms, and conditions are determined solely by the respective Insurance Partners and are subject to change without notice. The premium and plan details displayed on the Platform are indicative and may differ from the final premium or terms quoted by the Insurance Partner at the time of purchase.

6.4 Policy Document Review

Important: Users are strongly advised to carefully read the complete policy document, including the policy wording, terms and conditions, exclusions, limitations, and the sales brochure provided by the Insurance Partner, before purchasing any insurance policy.

7. Affiliate Disclosure

7.1 Commission Earnings

Secure365 earns referral commissions from Insurance Partners when Users click through the Platform to the Insurance Partner's website and complete eligible transactions (such as purchasing an insurance policy). This compensation is paid by the Insurance Partner to Secure365 and does not affect the price or premium that you pay for any insurance product.

7.2 No Impact on User Price

The insurance premium you pay is determined by the Insurance Partner and remains the same regardless of whether you access the Insurance Partner's website through the Platform or directly. Our commission is paid by the Insurance Partner from their own margin and is not added to your premium.

7.3 Referral Tracking

When you click on an insurance plan link on the Platform, a unique tracking parameter ("Sub ID") is appended to the redirect URL. This Sub ID enables the Insurance Partner to attribute the referral to Secure365 for commission calculation purposes. The Sub ID may contain anonymised elements derived from the information you provide on the Platform. By using the Platform, you consent to the generation and transmission of this tracking parameter.

8. Disclaimers

8.1 No Guarantee of Coverage or Claims

Secure365 does not guarantee that any insurance claim will be accepted, processed, or paid by any Insurance Partner. The acceptance and settlement of insurance claims are entirely at the discretion of the respective Insurance Partner, subject to the terms and conditions of the insurance policy.

8.2 General Information Only

The information provided on the Platform is for general informational and comparison purposes only. It does not constitute financial advice, insurance advice, investment advice, legal advice, or any form of professional advice. You should consult with a qualified professional before making any financial or insurance-related decisions.

8.3 Not Financial or Insurance Advice

Nothing on the Platform shall be construed as a recommendation, solicitation, or endorsement of any particular insurance product or Insurance Partner. Secure365 does not provide personalised insurance recommendations or advice.

8.4 Regulatory Status

Secure365 operates as a digital platform facilitating insurance comparison and referral services. Users are advised to verify the registration and licensing status of any Insurance Partner with the Insurance Regulatory and Development Authority of India (IRDAI) before purchasing any insurance product.

8.5 "As-Is" Basis

The Platform and all Content are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement.

9. Limitation of Liability

9.1 Insurance Partner Actions

Secure365 shall not be liable for any actions, omissions, errors, delays, or defaults of any Insurance Partner, including but not limited to policy issuance, claim processing, claim rejection, policy cancellation, or any changes to policy terms or premiums.

9.2 Claim Rejections

Secure365 shall not be liable for the rejection, delay, or non-settlement of any insurance claim by any Insurance Partner. All claims are subject to the terms, conditions, and exclusions of the respective insurance policy, and the decision of the Insurance Partner shall be final and binding.

9.3 Maximum Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Secure365 arising out of or in connection with your use of the Platform or these Terms shall not exceed the amount of commission actually earned by Secure365 from the Insurance Partner in respect of your specific transaction, or Indian Rupees One Thousand (₹1,000), whichever is lower.

9.4 Exclusion of Consequential Damages

In no event shall Secure365 be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform, even if Secure365 has been advised of the possibility of such damages.

10. Intellectual Property

10.1 Secure365 Proprietary Content

All content, materials, text, graphics, logos, icons, images, software, code, design elements, and the overall look and feel of the Platform are the proprietary property of Secure365 or its licensors and are protected under applicable Indian intellectual property laws, including the Copyright Act, 1957, and the Trade Marks Act, 1999.

10.2 Restrictions

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Content from the Platform without the prior written consent of Secure365, except as expressly permitted by these Terms.

10.3 Third-Party Logos and Trademarks

Insurance company logos, names, and trademarks displayed on the Platform are the property of their respective owners and are used solely for the purpose of identification and comparison. Such use does not imply endorsement, affiliation, or sponsorship by the respective Insurance Partners, unless otherwise stated.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

12. Dispute Resolution

12.1 Governing Law

These Terms and any disputes arising out of or in connection with these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

12.2 Jurisdiction

Subject to the mediation clause below, the courts of New Delhi, India shall have exclusive jurisdiction over any disputes, claims, or proceedings arising out of or relating to these Terms or your use of the Platform.

12.3 Mediation

Before initiating any court proceedings, the parties agree to attempt to resolve any dispute arising out of or in connection with these Terms through good-faith mediation. Either party may initiate mediation by sending a written notice to the other party describing the nature of the dispute and the relief sought. The parties shall endeavour to resolve the dispute through mediation within thirty (30) days from the date of the mediation notice. If the dispute is not resolved through mediation within this period, either party may proceed with court proceedings.

13. IRDAI Compliance Notice

IRDAI Regulatory Statement:

Insurance is the subject matter of solicitation. For more details on benefits, exclusions, limitations, terms, and conditions, please read the sales brochure/policy wording carefully before concluding a sale.

IRDAI is not involved in activities like selling insurance directly or indirectly.

The insurance products displayed on this Platform are offered by the respective insurance companies. Secure365 is not an insurance company and does not underwrite any risk. The purchase of insurance is entirely the User's decision, and Secure365 does not provide any advice or recommendation regarding the suitability of any insurance product.

All Insurance Partners listed on the Platform are registered with the Insurance Regulatory and Development Authority of India (IRDAI). Users are advised to verify the IRDAI registration status of any insurance company before purchasing a policy. IRDAI registration details of insurance companies can be verified at the official IRDAI website.

Secure365 complies with all applicable IRDAI guidelines, circulars, and regulations pertaining to insurance web aggregators and digital platforms facilitating insurance comparisons. We ensure that our display of insurance products, premium information, and comparison features are in accordance with the regulatory framework established by IRDAI.

14. Modification of Terms

Secure365 reserves the right to update, amend, or modify these Terms at any time, with or without prior notice. Any changes to these Terms will be effective immediately upon posting the revised Terms on the Platform with an updated "Last Updated" date.

We encourage you to review these Terms periodically. Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree with the revised Terms, you must discontinue your use of the Platform immediately.

In the event of material changes to these Terms, we will make reasonable efforts to notify you via email or by displaying a prominent notice on the Platform. However, it is your responsibility to check these Terms regularly for updates.
